Terms of Service

The ground rules,in plain English.

These terms cover your use of elix.lk and the general basis on which Elix works with clients. Every project also gets its own written proposal, and where that proposal says something different, the proposal wins.

Last updated · 8 October 2026

The short version

  • ScopeWhat we build, when, and for how much is fixed in writing before work starts.
  • OwnershipOnce you've paid in full, the work we made for you is yours.
  • FairnessEither side can end a project with notice. Work done is paid for.
01

Accepting these terms

By using elix.lk or engaging Elix for a project you agree to these terms. If you're agreeing on behalf of a company, you confirm you're authorised to do so. If you don't agree, please don't use the site.

02

Our services

Elix designs and builds websites, learning management systems, web and mobile applications, brand identities, and provides marketing and SEO work. The service pages on this site describe what we do in general. They are not an offer. Only a written proposal or agreement signed or confirmed by both sides creates a commitment.

03

Proposals and changes

A proposal sets out deliverables, milestones, timeline and price. It stays valid for 30 days unless it says otherwise.

Work outside the agreed scope is quoted separately before we start it. We won't bill for extras you haven't approved.

04

Payment

Payment follows the schedule in your proposal, usually a deposit up front and the rest by milestone. Invoices are due within the period stated on them. We may pause work on overdue invoices, and we may charge reasonable interest on late payments if the proposal says so.

Deposits cover the time we've reserved for you and are non-refundable once work has begun, except where we fail to deliver what was agreed.

05

What we need from you

Projects run on time when clients help. You agree to:

  • Provide content, branding, access and feedback promptly.
  • Make sure you own or have permission to use everything you give us, including text, images, logos and data.
  • Review work at each milestone and tell us about problems early.
06

Ownership and intellectual property

When you've paid in full, you own the custom code, designs and content we created specifically for you. Until then we keep ownership and grant you a licence to use the work in progress for review.

We keep ownership of our pre-existing tools, libraries and know-how, and of open-source components, which stay under their own licences. We may show the finished project in our portfolio unless you ask us in writing not to.

07

Third-party services

Projects often rely on hosting, payment gateways, domains, APIs and other third-party tools. Those are governed by their own terms and prices, and we aren't responsible for their outages or changes.

08

Using this website

You agree not to:

  • Attack, probe or overload the site, or try to access areas you aren't meant to.
  • Submit spam, malicious code or unlawful content through the contact form.
  • Copy the site's design, text or code to pass it off as your own.
09

Warranties and support

We build carefully and fix defects in delivered work that are reported within 30 days of launch, free of charge, unless your proposal states a different period. Ongoing maintenance is a separate arrangement.

Apart from that, the site and our work are provided “as is”. We can't promise uninterrupted or error-free operation, or particular business results such as rankings or sales.

10

Limit of liability

To the extent the law allows, Elix isn't liable for indirect or consequential losses such as lost profit or lost data. Our total liability for any claim connected with a project is limited to the amount you paid us for that project.

Nothing here limits liability that can't legally be limited, such as for fraud.

11

Confidentiality

We treat non-public information you share about your business as confidential and use it only to deliver your project. The same applies to our non-public pricing and methods.

12

Ending a project

Either side may end a project by giving written notice. You pay for work completed and costs committed up to that point, and we hand over what has been paid for. We may end things immediately if payment is seriously overdue or these terms are materially breached.

13

Governing law

These terms are governed by the laws of Sri Lanka. We'll try to settle any dispute by talking first. If that fails, the courts of Colombo have jurisdiction.

14

Changes to these terms

We may update these terms from time to time. The date at the top (currently 8 October 2026) shows the latest version. Active projects continue under the terms that applied when they were agreed.
